1. Introduction
These Terms of Service (“Terms”) govern your use of this website and any purchase of products from ART CNC Pty Ltd (“ART CNC,” “we,” “us,” or “our”). By accessing or ordering through this site, you agree to be bound by these Terms.
2. Definitions
“Customer” means the individual or entity who places an order with ART CNC.
“Products” means any CNC cutting machines, accessories or services offered for sale by ART CNC.
“Quotation/Sales Contract” means the written quotation or contract signed by both ART CNC and the Customer that specifies machine configurations, pricing, delivery, and other special conditions.
3. Applicability of Terms
All Products sold by ART CNC are custom-manufactured to the Customer’s specifications and are subject to the terms set forth in the Quotation/Sales Contract. In the event of any inconsistency between these Terms and the Quotation/Sales Contract, the Quotation/Sales Contract shall prevail.
4. Ordering & Acceptance
4.1 Quotation
Customers may request a written quotation. Quotations remain valid for 30 days from issuance unless otherwise stated.
4.2 Order Confirmation
An order is placed upon Customer’s acceptance of the Quotation and issuance of any required deposits or purchase order. We will confirm acceptance in writing.
4.3 Changes & Cancellations
Modifications to specifications or cancellations after acceptance may incur additional costs or may not be possible if manufacturing has commenced.
5. Pricing & Payment
5.1 Pricing
All prices are as stated in the Quotation/Sales Contract and exclude GST, duties, freight, and insurance unless otherwise specified.
5.2 Deposit & Balance
The deposit and progress payment schedule will be outlined in the Quotation/Sales Contract.
5.3 Late Payment
Interest at 1.5% per month will accrue on overdue amounts. We reserve the right to suspend delivery or cancel orders if payment is not received on time.
6. Delivery & Risk
6.1 Delivery Terms
Goods are delivered Ex Works (EXW) our premises, unless otherwise agreed. Freight, insurance, and customs clearance are the Customer’s responsibility.
6.2 Risk & Title
Risk transfers to the Customer upon delivery to the carrier. Title remains with ART CNC until payment in full is received.
7. Warranty & Liability
7.1 Warranty
ART CNC warrants that Products will be free from defects in materials and workmanship for [12] months from commissioning. Warranty terms are detailed in our Warranty Statement.
7.2 Exclusions
Warranty does not cover misuse, unauthorized modifications, consumables, wear parts, or damage in transit (to be claimed against the carrier).
7.3 Limitation of Liability
To the maximum extent permitted by law, ART CNC’s liability is limited to repair or replacement of defective parts under warranty. We are not liable for indirect, consequential, or punitive damages.
8. Intellectual Property
All designs, drawings, software, and documentation remain the sole property of ART CNC. Customers are granted a non-exclusive license to use these solely for operation and maintenance of their machine.
9. Confidentiality
Both parties agree to keep confidential any proprietary information disclosed in the course of fulfilling orders.
10. Force Majeure
ART CNC is not liable for delays or failures due to events beyond our reasonable control (e.g., natural disaster, supply-chain interruptions, government acts).
11. Governing Law & Jurisdiction
These Terms are governed by the laws of Queensland, Australia. Any dispute will be subject to the exclusive jurisdiction of the courts of Brisbane.
12. General
12.1 Severability
If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.
12.2 Entire Agreement
These Terms, together with the Quotation/Sales Contract and Warranty Statement, constitute the entire agreement between the parties. In the event of any conflict between the provisions of these Terms and the Quotation/Sales Contract, the Quotation/Sales Contract shall prevail.
ART CNC abide by all regulations in the country of sale as relates to industrial sales.
